Business Transactions

Business transactions cover the basic legal issues and contractual agreements involved in the day-to-day running of a business–such as confidentiality and non-disclosure agreements, marketing, sales, payment terms and limitations of liability. This practice area also includes franchise and license agreements, particularly for established business owners who want to develop and sell or license a marketable concept to franchisors on a local, regional or national basis.

Business transactions is a practice area that requires an understanding of how contracts, litigation, partnership agreements and intellectual property interrelate.

Why Business Transactions are important

Having standard agreements helps companies establish a systematic way of doing business and leaves out any guesswork on important issues such as payment terms, scope of work and intellectual property infringement protection.

In particular, business agreements help smaller companies level the playing field when working with larger counterparts. Without proper business transaction agreements, a company could be inadequately compensated for work provided or face litigation that could have been avoided with a clear, well-defined contract.

A Cautionary Client Tale

A client that provides public speaking training to corporate executives was reluctant to use a lengthy, detailed contract with its Fortune 1000 customers for fear of losing their business. As a result, the client’s contracts did not cover important issues such as dispute resolution and protection of intellectual property.

That is, until one company decided to use our client’s materials and training techniques to teach all their employees–not just the corporate executives–which was not part of the agreement. Not only were the materials used without consent, the company neglected to pay the client the additional training revenue it was owed and there were no affordable dispute resolution procedures in place to recoup the lost income.

We worked with the client to develop a standard contract agreement to ensure better protection going forward. As a result, the client has suffered no further misuses of its intellectual property and reaps the benefit of convenient dispute resolution procedures.
